1. Services Overview
We provide AI chatbot development, automation solutions, consulting, and support for sectors like healthcare, sales, e-commerce, and B2B.
Services delivered per proposal/Statement of Work (SOW); digital-only (no physical goods).
2. Orders & Quotes
- Quotes valid 30 days; non-binding until SOW signed + advance paid.
- Scope changes via written Change Request (CR); additional fees apply.
- We reserve right to refuse/cancel orders (e.g., incomplete info).

3. Payment Terms
Governed by our Payment Policy: Net 7 days standard; late fees 1.5%/month.
Advances non-refundable; TDS certificates required for Indian clients.
4. Cancellation & Refunds
Detailed in Cancellation Policy: Milestone-based for projects; pro-rated for retainers.
Digital deliverables non-returnable post-delivery.
5. Intellectual Property (IP)
- Pre-existing IP: Our tools/templates remain our property; licensed non-exclusively.
- Custom Work: Full ownership transfers post-final payment; limited license until then.
- Client grants us rights to use provided data/content for delivery.
- No reverse-engineering or resale of our AI solutions.
6. Confidentiality
Mutual NDA: Protect sensitive info (e.g., your business data, our AI models). Survives 3 years post-termination.
7. Warranties & Disclaimers
- We warrant services meet SOW specs; 30-day bug-fix guarantee post-go-live.
- No other warranties: AI performance depends on your data/setup; “as-is” basis.
- Limitation: Not liable for indirect damages (lost profits); max liability = project fees.
8. Data Privacy & Compliance
- Compliant with DPDP Act 2023, GDPR (for EU clients).
- Your data processed only for service delivery; see Privacy Policy.
- You ensure data legality (e.g., consent for chatbots).
9. Termination
- By Client: Per Cancellation Policy.
- By Us: Non-payment (7 days notice), breach, or insolvency.
- Post-termination: Pay outstanding fees; return/destroy confidential info.
10. Liability Limits
Total liability capped at fees paid in last 6 months. No consequential damages.
11. Governing Law & Disputes
- Laws of India; exclusive jurisdiction: Courts of Chennai, Tamil Nadu.
- Arbitration (if >₹20L): Chennai International Arbitration Centre.
12. Force Majeure
No liability for delays from uncontrollable events (e.g., API outages, regulations).
13. Miscellaneous
- Severability: Invalid clauses don’t affect others.
- Assignment: You can’t assign without consent; we may.
- Updates: Posted here; continued use = acceptance.
